The Management Board of Venture INC ASI SA (the Issuer) informs that today the Extraordinary General Meeting of Shareholders (EGM) of PixelRace Sp. z o.o. with its seat in Warsaw (the Company). During the EGM, a resolution was adopted to increase the share capital from PLN 5,350.00 to PLN 5,650.00, ie by PLN 300.00, by way of creating 6 new, equal and indivisible shares with a nominal value of PLN 50.00 each. The Issuer acquired all 6 newly established shares with a total nominal value of PLN 300.00 in exchange for a cash contribution of PLN 500,000. After the registration of the increase, the Issuer will hold 13 shares of the Company constituting 11.5% of the share capital of the Company, which will constitute 11.5% of the total number of votes at the General Meeting of the Company. The increase of the share capital of the Company was carried out in connection with the achievement by the Company of KPI in the investment agreement, about which the Issuer informed in the current report no. 25/2021.
