The Management Board of Venture INC ASI SA (the Issuer) informs that on February 10, 2021 an investment agreement was signed with the portfolio company Sundose sp.z o.o. (The Company), pursuant to which, at the Extraordinary Meeting of Shareholders of the Company scheduled for February 11, 2021, the Issuer will acquire 308 shares in the increased share capital of the Company. The Issuer informs that as a result of the fulfillment of the condition of the loan agreement (about which the Issuer informed in the report No. 23/2020), i.e. the acquisition of another investment round by the Company, the loan granted to the Company will be converted into shares by increasing the Company’s share capital.

The Issuer also informs that as a result of signing the share purchase agreement, on January 21, 2021, it acquired 67 shares of the Company.

After the registration of the share capital increase and taking into account the above-mentioned share purchase agreement, the Issuer will hold 735 shares of the Company, constituting 9.29% of the capital of the Company, which will entitle to 9.29% of the total number of votes at the Shareholders’ Meeting of the Company.
