The Management Board of Venture INC ASI SA (the Issuer) informs that today, ie August 31, 2021, together with other investors (“Investors”), it signed an investment agreement (“Agreement”) with the portfolio company Exit Plan sp. Z o.o. (Company).
The agreement provides for an investment in the Company for a total of $ 2,211,538.55 (say: two million two hundred eleven thousand five hundred thirty eight and fifty five cents) (the “Amount”) in exchange for twenty-three newly created shares. As part of the Amount, the Issuer will invest USD 192,307.70 (in words: one hundred ninety two thousand three hundred seven and seventy cents) taking up two shares of the Company, the remaining part of the shares will be acquired by Investors.

After the registration of the share capital increase, the Issuer will hold 18 shares of the Company, representing 10.1% (ten and one tenth) in the share capital of the Company, which will entitle to 10.1% (ten and one tenth) of the total number of votes at the Company’s Shareholders’ Meeting .
